INTELLIGENT HOSTING SDN BHD TERMS AND CONDITION
WHEREAS, IHSB is an information provider connected to the Internet. IHSB offers web hosting and email server hosting services over the Internet through access to its Web Server; WHEREAS, Client seeks to utilize IHSB’s server for its own purposes; WHEREAS, the parties acknowledge that the Internet is neither owned nor controlled by any one entity; therefore, IHSB can make no guarantee that any given reader shall be able to access IHSB’s server at any given time. IHSB represents that it shall make every good faith effort to ensure that its server is available as widely as possible and with as little service interruption as possible. Now Therefore, in consideration of the mutual promises contained herein, the parties agree as follows:
A) FINANCIAL ARRANGEMENTS
Client agrees to a minimum one (1) year contract, beginning upon IHSB’s receipt of payment for the first year of service.
First year payment plus setup charges, if any, shall be due in advance of service. Whilst our pricing may be broken down to a monthly figure, all accounts are payable yearly in advance. The account cannot be transferred or used by anyone other than the subscriber. This agreement will automatically renew for successive one (1) year period unless canceled in writing 14 days prior to the annual renewal date. Written notice may be by postal, the IHSB form or fax transmission. Renewal prices are subject to change. Renewal of services by Client indicates agreement to any Contract revisions. Renewal fees for the following term will be automatically charged to the credit card on file for your account unless other arrangements have been made. Payments may also be made by cheque. Returned cheques are subject to a RM100.00 returned cheque fee. Accounts that have unpaid invoices and past the renewal date will be suspended without prior notice until the account is brought current. IHSB reserves the right to terminate the account and delete the files. IHSB reserves the right to apply a RM100.00 reconnection fee to all suspended accounts. Suspension does NOT release client of the responsibility for payment of the account and monies due. In any case where Client has exceeded the allocated free quota of web space, email space and data transfer IHSB reserve the rights to bill the extra web space, email space and data transfer used accordance with the standard price list or suspend the account immediately without any prior notice. Furnishing false data on any contract or application, including fraudulent use of credit card numbers, is grounds for immediate termination, and may subject the offender to civil or criminal liability.
IHSB shall not be liable for any taxes or other fees to be paid in accordance with or related to purchases made from Client or IHSB’s server. Client agrees to take full responsibility for all taxes and fees of any nature associated with such products sold.
C) MATERIAL AND PRODUCTS
IHSB will exercise no control whatsoever over the content of the information passing through the network except for what is noted in Section J of this agreement. IHSB will not host any material that is, in IHSB sole discretion, judged as unlawful, threatening, pornographic, political, abusive, libelous, or encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any local, state, national or international law. Please contact IHSB if uncertain of the nature of your content. IHSB makes no warranties or representations of any kind, whether expressed or implied for the service it is providing.
IHSB also disclaims any warranty of merchantability or fitness for particular purpose and will not be responsible for any damages that may be suffered by the Client, including loss of data resulting from delays, non-deliveries or service interruptions by any cause or errors or omissions of the Client. Use of any information obtained by way of IHSB is at the Client’s own risk, and IHSB specifically denies any responsibility for the accuracy or quality of information obtained through its services.
Connection speed represents the speed of a connection to and do not represent guarantees of available end to end bandwidth. IHSB expressly limits its damages to the Client for any non-accessibility time or other down time to the pro- rata monthly charge during the system unavailability. IHSB specifically denies any responsibilities for any damages arising as a consequence of such unavailability. Client may not run background processes on IHSB’s servers. Violations of this policy will result in a user’s background processes being killed, and may result in account suspension.
D) TRADEMARKS & COPYRIGHTS
Client warrants that it has the right to use any applicable trademarks or copyrighted material used in connection with this service.
The Customer certifies that he or she is at least 18 years of age.
F) INTERNET ETIQUETTE
Electronic forums such as mail distribution lists all have expectations regarding subject area and appropriate etiquette for posting. Users of these forums should be considerate of the expectations and sensitivities of others on the network when posting material for electronic distribution. The network resources of IHSB may not be used to impersonate another person or misrepresent authorization to act on behalf of others or IHSB. All messages transmitted via IHSB should correctly identify the sender; users may not alter the attribution of origin in electronic mail messages or posting. Users must not attempt to undermine the security or integrity of computing systems or networks and must not attempt to gain unauthorized access. IHSB does not permit the transmission of unsolicited e-mail. Complaints or allegations regarding the abuse of e-mail will be investigated. If it is found that the client has engaged in the intentional transmission of unsolicited e-mail, a warning to cease and desist will be issued. Subsequent violations will result in suspension and/or termination of the account. Software items that result in denial of service are not fit for use. IHSB reserves the right to delete those files. Clients may not use the account as storage facility or as a download site for MP3, soft wares, offer free emails, free websites, free banner exchange services or any large scale free services. Customer may also not run any kind of chat script or create any kind of chating site using the hosting service.
IHSB will make every effort to protect the privacy of IHSB’s clients. IHSB will not reveal personal information regarding its clients. IHSB cannot however protect privacy through the Internic registration database as this information is open to the public.
This Agreement may be terminated by either party, without cause, by giving the other party 30 days written notice. Written notice may be by postal or fax transmission. IHSB reserves the right to verify all cancellations before terminating service. Notwithstanding the above, IHSB may terminate service under this Agreement at any time, without penalty, if the Client fails to comply with the terms of this Agreement. At any time IHSB believe that the service is being utilized by client causes any kind of network or server problem or disturbance, IHSB may immediately terminate service without liability and without refund. All data not limiting to web and email will be deleted immediately if the termination is due to breach of contract, otherwise to be deleted 45 days after the date of service expiry.
I) LIMITED LIABILITY
Client expressly agrees that use of IHSB’s Server is at Client’s sole risk. Neither IHSB, its employees, affiliates, agents, third party information providers, merchants licensers or the like, warrant that IHSB’s Server service will not be interrupted or error free; nor do they make any warranty as to the results that may be obtained from the use of the Server service or as to the accuracy, reliability or content of any information service or merchandise contained in or provided through the IHSB Server service, unless otherwise expressly stated in this Agreement. Under no circumstances, including negligence, shall IHSB, its offices, agents or any one else involved in creating, producing or distributing IHSB’s Server service be liable for any direct, indirect, incidental, special or consequential damages that result from the use of or inability to use the IHSB Server service; or that results from mistakes, omissions, interruptions, deletion of files, errors, defects, delays in operation, or transmission or any failure of performance, whether or not limited to acts of God, communication failure, theft, destruction or unauthorized access to IHSB’s records, programs or services. Client hereby acknowledges that this paragraph shall apply to all content on IHSB’s Server service. Notwithstanding the above, Client’s exclusive remedies for all damages, losses and causes of actions whether in contract, tort including negligence or otherwise, shall not exceed the aggregate dollar amount which Client paid during the term of this Agreement and any reasonable attorney’s fee and court costs.
J) LAWFUL PURPOSE
Client may only use IHSB’s Server for lawful purpose. Transmission of any material in violation of any Federal, State or Local regulation is prohibited. This includes, but is not limited to copyrighted materials, material judged to be obscene, threatening, pornographic, political, abusive, libelous, or encourages conduct that would constitute a criminal offense, give rise to civil liability or material protected by trade secrets.
Client agrees that it shall defend, indemnify, save and hold IHSB harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorneys’ fees, (“Liabilities”) asserted against IHSB, its agents, its customers, servants, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by Client, its agents, employees or assigns. Client agrees to defend, indemnify and hold harmless IHSB against Liabilities arising out of any injury to person or property caused by any products sold or otherwise distributed in connection with IHSB’s Server; any material supplied by Client infringing or allegedly infringing on the proprietary rights of a third party; copyright infringement and any defective product which Client sold on IHSB Server.
L) CONTACT REVISIONS
Revisions to this Contract will be applicable to previous Contracts. Revisions will be considered agreed to by the Client on renewal of IHSB services as specified in Section A.
ALL software and files uploaded must follow the standard Internet guidelines for fitness of use. Such software items that result in denial of service are not fit for use. IHSB reserves the right to delete those files. Clients may not use the account as storage facility or as a download site for MP3, softwares, offer free emails, free websites, free banner exchange services or any large scale free services. Customer may also not run any kind of chat script or create any kind of chating site using the hosting service.
M) VALUE ADDED RESELLING
Clients approved and authorized as IHSB’s resellers are allowed to resell the storage and transfer services provided by IHSB as provided for in its standard product offering. Client agrees to handle and is responsible for all third-party client’s content, support, set-up, maintenance and billing. Client agrees to having the necessary additional knowledge and skill level required. Client also agrees that they are responsible for all payments for accounts brought on by client under the reseller program.

Intelligent Hosting Sdn Bhd agrees not to divulge ourselves as your source for Web hosting. We value our resellers and will not contact or solicit the Reseller’s customers. Intelhost may be listed in the DNS registry’s Whois database as the Zone Contact and/or as the authoritative name server for the domain. Reseller will be listed as the Administrative, Technical or Billing Contact.
However, if the reseller’s customer contacts Intelhost due to a lack or service or performance by Reseller, we will not refuse the customer support or service. We believe this policy best protects the customer and provides uninterrupted service.
While information is the cornerstone of our ability to provide superior service, our most important asset is our customers’ trust. Keeping customer information secure, and using it only as our customers would want us to is a top priority for all of us at Intelligent Hosting Sdn Bhd.
We will safeguard, according to strict standards of security and confidentiality, any information our customers share with us.
We will limit the collection and use of customer information to the minimum we require to deliver superior service to our customers, which includes advising our customers about our products, services and other opportunities, and to administer our business.
We will not reveal customer information to any external organization unless we have previously informed the customer in disclosures or agreements, have been authorized by the customer, or are required by law.
We will always maintain control over the confidentiality of our customer information.
Whenever we hire other organizations to provide support services, we will require them to conform to our privacy standards.
For the purposes of credit reporting, verification and risk management, we will exchange information about our customers with reputable reference sources and clearinghouse services.
We will attempt to keep customer files complete, up to date, and accurate. We will tell our customers how and where to conveniently access their account information (except when we’re prohibited by law) and how to notify us about errors which we will promptly correct.

INTELLIGENT HOSTING SDN BHD AUP POLICY
As a provider of web site hosting, and other Internet-related services, Intelligent Hosting offers its clients, and their customers and users, the means to disseminate a wealth of public, private, commercial, and non-commercial information. Intelligent Hosting respects that the Internet provides a forum for free and open discussion and dissemination of information, however, when there are competing interests at issue, Intelhost reserves the right to take certain preventative or corrective actions. In order to protect these competing interests, Intelligent Hosting has developed an Acceptable Use Policy (“AUP”), which supplements and explains certain terms of each customer’s respective service agreement and is intended as a guide to the customer’s rights and obligations when utilizing Intelligent Hosting services. This AUP will be revised from time to time. A customer’s use of Intelligent hosting after changes to the AUP are posted on Intelligent Hosting web site, www.Intelligenthosting, will constitute the customer’s acceptance of any new or additional terms of the AUP that result from those changes.
One important aspect of the Internet is that no one party owns or controls it. This fact accounts for much of the Internet’s openness and value, but it also places a high premium on the judgment and responsibility of those who use the Internet to disseminate information to others.
When information is disseminated through the Internet, they also must keep in mind that Intelhost does not review, edit, censor, or take responsibility for any information its clients may create. When users place information on the Internet, they have the same liability as other authors for copyright infringement, defamation, and other harmful speech. Also, because the information they create is carried over Intelligent Hosting network and may reach a large number of people, including both clients and non-clients of Intelligent Hosting, clients’ postings to the Internet may affect other clients and may harm Intelligent Hosting goodwill, business reputation, and operations. For these reasons, clients violate Intelligent Hosting policy and the service agreement when they, their customers, affiliates, or subsidiaries engage in the following prohibited activities:
UCE / SPAM
The abuse and misuse of e-mail is a serious problem, and Intelligent Hosting Network cannot and will not tolerate it.
This policy covers all servers and domains on our network, including but not limited to Virtual Shared, Bulk Reseller, VPS, Dedicated and Colocation.
Definition of UCE (Unsolicited Commercial E-mail), or spam:
The bulk UCE, promotional material, or other forms of solicitation sent via e-mail that advertise any IP address belonging to Intelhost Network or any URL (domain) that is hosted by Intelligent Hosting Network.
Unsolicited postings to newsgroups advertising any IP or URL hosted by Intelligent Hosting Network.
The use of web pages set up on ISPs that allow spamming (also known as “ghost sites”) that directly or indirectly reference customers to domains or IP addresses hosted by Intelligent Hosting Network.
Advertising, transmitting, or otherwise making available any software, program, product, or service that is designed to facilitate a means to spam.
Forging or misrepresenting message headers, whether in whole or in part, to mask the true origin of the message.
Due to the increased problems and risk to our network, Intelligent Hosting Network also prohibits the use of 3rd party mailing lists and FFA’s. See our mailing list management principals for managing your own lists. Examples that we do not allow include but are not limited to: Safe list, Purchased / Sold mailing lists, FFA’s.
REPERCUSSIONS OF SPAM
Across the Web, it is generally accepted that spam is an inconsiderate and improper business practice.
IMPACTS TO INTELLIGENT HOSTING NETWORK
Spam is not only harmful because of its negative impact on consumer attitudes toward Intelligent Hosting Network, but also because it can overload Intelligent Hosting network and resources.
There are many groups that report and block the networks that spam is sent from. In the event spam is generated off of ours or our customers servers, our network can be blocked and this impacts other users putting our network at risk.
Since it is unsolicited, users who receive spam often become angry and send complaints to our upstream providers. This upsets our providers who abhor spam for the same reasons that Intelligent Hosting Network does – it causes negative consumer attitudes and drains resources. We strive to maintain favorable business relationships in the Web community and obviously will not allow any practice that threatens these relationships.
CONSEQUENCES / PENALTIES FOR SPAMMING
Intelligent Hosting Network reserves the right to terminate, without warning, any account that violates this policy. Usage of Intelligent Hosting Network services constitutes acceptance and understanding of this policy.
Intelligent Hosting Network may, at its option, charge $25.00 per spam complaint we receive for any domain on our network and will be charged to the owner of the domain or the owner of the server the domain resides on or the reseller of the domain. Resellers, dedicated server owners and colocation clients may choose to pass this charge down to their client, when/if appropriate. These are non-refundable charges and will be invoiced at the time of complaint notification.
It is the responsibility of dedicated server owners, resellers and colocation clients to manage the email from their server/accounts and to keep in compliance of our policies.
Intelligent Hosting Network reserves the right to decide what it considers “spam”, “UCE”, “mail bombing”, or “bulk e-mail”, and to determine from all of the evidence whether or not the e-mail recipients were from an “opt-in” e-mail list.
Should you choose to e-mail from Intelligent Hosting Network servers, especially if you use mailing lists, you must read and adhere to the following guidelines, which are offered as a statement of Internet standards and best current practices for proper mailing list management and preventing e-mail abuse.
BASIC MAILING LIST MANAGEMENT PRINCIPLES FOR PREVENTING ABUSE
Mailing lists are a vehicle for distributing focused, targeted information to an interested, receptive audience. Consequently, mailing lists have been used successfully as a highly effective direct marketing tool.
Unfortunately, some marketers misuse mailing lists through a lack of understanding of Internet customs and rules of the forum pertaining to e-mail. Others fail to take adequate precautions to prevent the lists they manage from being used in an abusive manner.
The e-mail addresses of new subscribers must be confirmed or verified before mailings commence. This is usually accomplished by means of an e-mail message sent to the subscriber to which she / he must reply, or containing a URL which she / he must visit, in order to complete the subscription.
However it is implemented, a fundamental requirement of all lists is the verification of all new subscriptions.
Mailing list administrators must provide a simple method for subscribers to terminate their subscriptions, and administrators should provide clear and effective instructions for unsubscribing from a mailing list. Mailings from a list must cease promptly once a subscription is terminated.
Mailing list administrators should make an “out of band” procedure (e.g., a means of contact by which messages may be sent for further correspondence via e-mail or telephone) available for those who wish to terminate their mailing list subscriptions but are unable or unwilling to follow standard automated procedures.
Mailing list administrators must ensure that the impact of their mailings on the networks and hosts of others is minimized by proper list management procedures such as pruning of invalid or undeliverable addresses, or taking steps to ensure that mailings do not overwhelm less robust hosts or networks.
Mailing list administrators must take adequate steps to ensure that their lists are not used for abusive purposes. For example, administrators can maintain a “suppression list” of e-mail addresses from which all subscription requests are rejected. Addresses would be added to the suppression list upon request by the parties entitled to use the addresses at issue.
The purpose of the suppression list would be to prevent subscription of addresses appearing on the suppression list by unauthorized third parties. Such suppression lists should also give properly authorized domain administrators the option to suppress all mailings to the domains for which they are responsible.
Mailing list administrators must make adequate disclosures about how subscriber addresses will be used, including whether or not addresses are subject to sale or trade with other parties. Once a mailing list is traded or sold, it may no longer be an opt-in mailing list. Therefore, those who are acquiring “opt-in” lists from others must examine the terms and conditions under which the addresses were originally compiled and determine that all recipients have in fact opted-in specifically to the mailing lists to which they are being traded or sold.
Mailing list administrators should make adequate disclosures about the nature of their mailing lists, including the subject matter of the lists and anticipated frequency of messages. A substantive change in either the subject matter or frequency of messages may constitute a new and separate mailing list requiring a separate subscription. List administrators should create a new mailing list when there is a substantive change in either the subject matter or frequency of messages. A notification about the new mailing list may be appropriate on the existing mailing list, but existing subscribers should never be subscribed automatically to the new list. SHARED SERVER RESOURCE ABUSE
Intelligent Hosting Network allows CGI, PHP, Perl and many other normal processes used for hosting to be used on all Virtual Servers. These processes can be resource intensive however, and because a Virtual Server must be shared with other users, we must limit how much of the CPU, memory, disk I/O, disk space and database use can be used by any one account on a shared server. Therefore any program (application, script, etc.) or usage that consumes too many resources that impacts other customers in either performance or reliability is considered resource abuse. Shared servers are ‘shared’ and we all need to play fair. In the event a user requires more resources than is acceptable on a shared server environment, a dedicated solution, such as our VPS, dedicated or colocation services are recommended.
WHAT DOES INTELLIGENT HOSTING NETWORK CONSIDER “SYSTEM RESOURCE ABUSE”?
Any site whose traffic, programs and/or processes are using excessive amounts of system resources. Excessive amounts is defined as any amount that results in substantial degradation of server performance. Intelligent Hosting Network is the sole determinant of what constitutes degraded server performance.
Although our Bulk Reseller plans have larger disk space and bandwidth availability, these accounts are intended for small to medium sized web sites and traffic loads. The BR Accounts are not intended for large, busy , resource intensive web sites and they will be suspended if found impacting server performance. Large busy sites, especially those using databases, usually require a dedicated solution due to resource usage. Our VPS and Dedicated Servers options are better suited for these type of sites since they do not impact other users.
EXAMPLES INCLUDE, BUT ARE NOT LIMITED TO
FLAT FILE DATABASE DRIVEN FORUMS
Due to their use of flat files instead of databases, Intelligent Hosting Network does not allow the use of UBB or YABB bulletin boards. Use of these boards for large or very active forums, results in system performance degradation, and cannot be allowed in our shared server environment. Intelligent Hosting Network suggests using VBulletin or phpBB as a more efficient, database-driven alternative to these bulletin boards. Busy sites with large forums and data bases are not suited to a shared server environment.
BACKGROUND RUNNING PROCESSES
Background Daemons in general are prohibited on Intelligent Hosting Network servers, including, but not limited to, IRC bots, eggdrop, BitchX, XiRCON, warez sites and any other program that interferes with normal server operation.
We allow customers to set up cron jobs to perform routine functions automatically. Due to the impact on the server, running some automated processes can take up considerable server resources and in those cases, our technicians may disable the cron job.
We have a strict policy regarding use / spam on our network, but we do allow use of mailing lists within the constraints of our spam policy. However, sending thousands of e-mails off of a given server can impact the performance of the server. Therefore we limit the amount of e-mail allowed on our Shared Virtual Servers (including the Bulk Reseller servers) to no more than 1000 e-mails per day and 30 emails in 10 seconds.
MAXIMUM EMAIL ATTACHMENT SIZE
The maximum email size (which include email content, header, attachment, etc) we allowed in our share hosting mail server is 50MB per email.
MAXIMUM MYSQL DATABASE SIZE
We allow unlimited number of MySQL databases, but in the interest of server stability, you have to try to keep them optimized, less than 3000 tables per database or less than a total of 5000 tables combination of all databases per hosting account and less than a total 5 GB size combination of all databases per account, whichever is lower.
ARCHIVE OR BACKUP STORAGE
Using shared hosting account as a backup/storage device is not permitted. This includes but not limited to Videos, Photos, Music, ISO, archiving of electronic files, log files.
Unfortunately, many commonly used scripts can be exploited to allow unauthorized users into our systems. Consequently we may on occasion need to ban and consequently disable these scripts. WHY DOES INTELLIGENT HOSTING NETWORK HAVE THIS POLICY ?
Server Speed and Fairness to others. A Virtual Server is shared. As such, there are many accounts per machine. In all fairness, Intelligent Hosting Network cannot allow one or two clients to use all of the System resources on a shared machine and have all other clients on the machine suffer because of it. Excessive usage by one or more clients causes extreme slowness in all areas: FTP, SSH, Web Sites and more. If the CPU, disk I / O and/or memory usage gets too far out of hand, all sites hosted on the machine will return Errors and not be accessible in any way.
WHAT HAPPENS IF VIOLATE THIS POLICY
All accounts that are found to be using excessive amounts of system resources will receive an e-mail warning from Intelligent Hosting Network. This warning will inform you that the site is using excessive system resources. Intelligent Hosting Network will provide options for reducing the usage and / or upgrading your account. If the situation is severe, we may suspend the account or process immediately to bring performance of the server back to an acceptable level. 24 hours notice will be given if at all possible.
INTELLECTUAL PROPERTY VIOLATIONS
Engaging in any activity that infringes or misappropriates the intellectual property rights of others, including copyrights, trademarks, service marks, trade secrets, software piracy, and patents held by individuals, corporations, or other entities. Also, engaging in activity that violates privacy, publicity, or other personal rights of others. Intelhost is required by law to remove or block access to customer content upon receipt of a proper notice of copyright infringement. It is also Intelhost policy to terminate the privileges of customers who commit repeat violations of copyright laws. Reference our copyright infringement policy for more information.
IllEGAL OR UNAUTHORIZED ACCESS TO OTHER COMPUTERS OR NETWORKS
Accessing illegally or without authorization computers, accounts, or networks belonging to another party, or attempting to penetrate security measures of another individual’s system (often known as “hacking”). Also, any activity that might be used as a precursor to an attempted system penetration (i.e. port scan, stealth scan, or other information gathering activity).
Forging of Headers
Forging or misrepresenting message headers, whether in whole or in part, to mask the originator of the message
Export Control Violations
Exporting encryption software over the Internet or otherwise, to points outside the United States
OTHER IllEGAL ACTIVITIES
Engaging in activities that are determined to be illegal, including advertising, transmitting, or otherwise making available ponzi schemes, pyramid schemes, fraudulently charging credit cards, and pirating software.

Unfortunately, many good things are turned on us to be used for nefarious activities. Commonly used scripts are frequently exploited to allow unauthorized access to the systems they are running on. Others just require more resources than is allocated on a shared server environment.
Consequently, in order to keep Intelligent Hosting Network network and servers safe, we may need to take actions that inconvenience our good customers. Any time we find scripts or other commonly used tools that can become easily compromised or impact other users by using too many server resources, we may need to disable scripts or other tools installed and used by our customers.
Whenever possible, we will notify our customers in advance. We will also attempt to keep this page updated with current scripts which will require removal from our shared servers and/or our network.
COPYRIGHT INFRINGEMENT / INTELLECTUAL PROPERTY
Engaging in any activity that infringes or misappropriates the intellectual property rights of others, including copyrights, trademarks, service marks, trade secrets, software piracy, and patents held by individuals, corporations, or other entities. Also, engaging in activity that violates privacy, publicity, or other personal rights of others. MISCELLANEOUS AND OTHER ACTIVITIES
Defamatory or Abusive Language
Using Intelligent Hosting network as a means to transmit or post defamatory, harassing, abusive, or threatening language.
Any content that is discriminatory based on gender, race, age and/or promotes hate or violence is prohibited.
USENET GROUP POSTINGS THAT VIOLATES OUR TOS
Intelligent Hosting reserves the right not to accept postings from newsgroups where we have actual knowledge that the content of the newsgroup violates the AUP.
FACILITATING A VIOLATION OF OUR TOS
Advertising, transmitting, or otherwise making available any software, program, product, or service that is designed to violate this AUP, which includes the facilitation of the means to spam, initiation of pinging, flooding, mail bombing, denial of service attacks, and piracy of software.
OTHER ACTIVITIES INTELLIGENT HOSTING DETERMINES TO BE HARMFUL
Engaging in activities, whether lawful or unlawful, that Intelligent Hosting determines to be harmful to its clients, operations, reputation, goodwill, or customer relations.
As we have pointed out, the responsibility for avoiding the harmful activities just described rests primarily with the client. Intelligent Hosting will not, as an ordinary practice, monitor the communications of its client to ensure that they comply with Intelligent Hosting policy or applicable law. When Intelligent Hosting becomes aware of harmful activities, however, it may take any action to stop the harmful activity, including but not limited to, removing information, shutting down a web site, implementing screening software designed to block offending transmissions, denying access to the Internet, or take any other action it deems appropriate.
Intelligent Hosting also is concerned with the privacy of on-line communications and web sites. In general, the Internet is neither more nor less secure than other means of communication, including mail, facsimile, and voice telephone service, all of which can be intercepted and otherwise compromised. As a matter of prudence, however, Intelligent Hosting urges its clients to assume that all of their on-line communications are insecure. Intelligent Hosting cannot take any responsibility for the security of information transmitted over Intelligent Hosting facilities.
Intelligent Hosting will not intentionally monitor private electronic mail messages sent or received by its clients unless required to do so by law, governmental authority, or when public safety is at stake. Intelligent Hosting may, however, monitor its service electronically to determine that its facilities are operating satisfactorily. Also, Intelligent Hosting may disclose information, including but not limited to, information concerning a client, a transmission made using our network, or a web site, in order to comply with a court order, subpoena, summons, discovery request, warrant, statute, regulation, or governmental request. Intelligent Hosting assumes no obligation to inform the client that client information has been provided and in some cases may be prohibited by law from giving such notice. INTELLIGENT HOSTING SDN BHD UPTIME GUARANTEE
Intelligent Hosting agrees to use its best endeavors to ensure a 99.9% Uptime Guarantee to the customers. Downtime is referred to as our server or network equipment being down and not ping able. Downtime excludes scheduled maintenance window which the maintenance notice shall be posted on our Support Center or email to our clients at least 3 (three) working days before the schedule date. Here are some common guarantees in the industry today and the actual amount of downtime per month involved.
99.5% uptime = 216 minutes of downtime in a month
99.8% uptime = 86.4 minutes of downtime in a month
99.9% uptime = 43.2 minutes of downtime in a month
99.99% uptime = 4.32 minutes of downtime in a month
99.999% uptime = 0.432 minutes (26 seconds) in a month
Customer shall not receive any credits under this 99.9% Network Uptime and 99.5% Server Uptime Guarantee in connection with any failure or deficiency of Web Site Availability caused by or associated with:
Circumstances beyond our reasonable control, including, without limitation, acts of God, acts of any governmental body, war, insurrection, terrorism, sabotage, armed conflict, embargo, fire, flood, strike or other labor disturbance, interruption of or delay in transportation, unavailability of or interruption or delay in telecommunications or third party services, virus attacks or hackers, failure of third party software (including, without limitation, eCommerce software, payment gateways, chat, statistics or free scripts) or inability to obtain raw materials, supplies, or power used in or equipment needed for provision of this SLA;
Failure of access circuits to our network, unless such failure is caused solely by Intelhost;
Scheduled maintenance and emergency maintenance and upgrades;
DNS issues outside the direct control of Intelhost;
Issues with FTP, POP, IMAP, or SMTP customer access;
False SLA breaches reported as a result of outages or errors of any Intelligent Hosting measurement system;
Customer’s acts or omissions (or acts or omissions of others engaged or authorized by customer), including, without limitation, custom scripting or coding (e.g., CGI, Perl, HTML, ASP, etc), any negligence, willful misconduct, or use of the Services in breach of our Terms of Service Policy;
Email or webmail delivery and transmission;
DNS (Domain Name Server) Propagation.
Outages elsewhere on the Internet that hinder access to your account. Intelligent Hosting is not responsible for browser or DNS caching that may make your site appear inaccessible when others can still access it. Intelligent Hosting will guarantee only those areas considered under the control of Intelligent Hosting: our server links to the Internet, our routers, and our servers.
In the event of Server Downtime or Network Downtime which is (i) due to problem within Intelhost Network and (ii) if the total Server Downtime or Network Downtime exceeds specific numbers of hours consecutively (as specified in Table 1 below) in a calendar month, customer may claim for an Outage Event Credit (OEC). Notwithstanding the foregoing, the maximum amount of OEC can be claimed shall not exceed 50% of the total Monthly Fee for the Service provided, and this is limited to once in a calendar month frequency.

Why Do Reliable Web Hosting Companies Offer Uptime Guarantees Backed With Real Credits Or Refunds To Customer Accounts?
We have been involved in the hosting industry since year 2001 and have seen many of our competitors come and go. Many web hosting companies failed because they are not committed to taking great care of their customers. If a web host has nothing to lose when your site is down, then their commitment and speed in restoring your site may not be the best.
Outage Event Credit (OEC)
In reality, an uptime guarantee may only mean a small refund or account credit for you, but if your web host is refunding or crediting every client on their server due to not meeting the guaranteed uptime, this could mean significant losses for them. For example, we have a server with maximum of no more than 300 accounts at RM199/year each. If the server went down and it took us 48 hours to restore the service, that will means we only able to achieve 93.34% of uptime, which would translate to a loss of RM 1146.00 for the month on that server alone. Obviously it is also in our best interest to get the troubled server up and running as fast as possible.

Customer shall submit all claims for OEC by email to email@example.com within three (3) business days after the Intelhost server / network is available again following the server or network downtime in question. In the event of customer’s failure to submit the claims within the said three (3) business days, Intelhost reserves the right to reject the claims without any reasons.
The claims submitted by customers must contain the following particulars of information:
Date and approximate period of downtime
Any claims submitted without any of the particulars of information above shall be treated as incomplete and Intelhost has the right to reject such claims.
Customers will be given acknowledgement of receipt of all claims within one (1) business days and Intelhost will review all such claims within seven (7) business days thereof. Upon review and findings, Intelligent Hosting will inform the customers by e-mail whether the appropriate claim will be granted or rejected. If the claim is allowed, the OEC will not be reflected in the current bill, but in the following bill.
Are The Server And Network Uptime Guarantee Considered To Be Web Site Or Business Insurance?
We are in the web hosting business, not the insurance business. Our Server and Network Uptime Guarantee are in no way to be interpreted as an insurance product. Since the maximum amount of credits that can be applied to any web hosting account is the actual amount paid by the customer per month, quarter or year then obviously it is not sufficient to “cover” any damages caused by any server or network outage. We recognize that web sites cost money to develop, maintain and ecommerce sites can experience loss of sales and income when an outage occurs. We do not however offer any compensation for these types of losses as stated in our Terms of Service. While we do perform daily backups on all servers, it is the customer’s responsibility to maintain their own site backups on their local computers at all times and if deemed necessary, obtain insurance products from reputable insurance providers to cover any loss of business or sales.
Intelligent Hosting reserves the right to make any modifications, amendments, revisions or changes to this Server Uptime and Network Uptime Guarantee at any time. Customer will be notified prior to any changes or variation to Server Uptime and Network Uptime Guarantee. INTELLIGENT HOSTING SDN BHD AFFILIATE TERMS
The Intelligent Hosting Sdn. Bhd. ("Intelhost" or "Company" or "we") affiliate program (the "Affiliate Program") is designed to help you generate income in exchange for referring new hosting clients to Intelligent Hosting. These Affiliate Program Terms (the "Affiliate Agreement") are a contract between Intelligent Hosting Sdn Bhd and you (the "Affiliate" or "you"), and it governs the terms and conditions of your participation in the Affiliate Program. BY REGISTERING AS AN AFFILIATE YOU ARE AGREEING TO THE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU ARE NOT PERMITTED TO PARTICIPATE IN THE AFFILIATE PROGRAM.
As a Intelligent Hosting affiliate, you may accrue a one-time referral fee for each purchase of a hosting account that you refer to Intelligent Hosting that meets the definition of a "Qualified Purchase" and the requirements set forth herein. A "Qualified Purchase" is the purchase of Intelligent hosting services by a new and unique customer who: (i) clicks on an affiliate tracking link, (ii) completes the signup process within ninety (90) days of clicking on the affiliate tracking link, (iii) maintains an active account with Intelhost for a minimum of ninety (90) days; and (iv) did not transfer from a Intelhost partner or related company.
Affiliate accounts must be active at the time of the referral. No referral fee will accrue for sales that occurred before your participation in the Affiliate Program.
You are solely responsible for keeping all information up to date including postal and email addresses, name, payment information, tax information and any other personal information that will impact the ability to issue a valid payment.
Affiliates are solely responsible for ensuring that all payee information is accurate and up to date in the affiliate system. Intelhost is not responsible for any lost or stolen payments.
Missing or untracked affiliate referrals must be reported during the then current referral period (either between the 1st and the 15th of the month or between the 16th and the end of the month) and will be credited to your account at our sole discretion, provided that such credit has accrued pursuant to the terms contained herein. Referrals that are not reported during the then current referral period will not be credited to your account.
The affiliate referral fees are determined approximately 45 days after the end of the month in which the Qualified Purchase is recorded. Payments are then processed and sent to Affiliates between the 16th of the month and the last day of the month. EXAMPLE: A Qualified Purchase recorded in January will be sent to the Affiliate between March 16th and March 31st.
Payments are sent using the PayPal mass payment system. Intelligent Hosting pays for the transaction fee associated with the mass payment system. You are required to supply a PayPal address to receive payments. If you would prefer to receive payments by check, you must notify Intelhost and payments will be sent to the address you provide. Please note that payments by check take up to an additional thirty (30) days to arrive. For larger affiliates with balances of over USD$10,000 per month, Intelligent Hosting offers a wire transfer option. To update your payment information, please contact the Intelhost affiliate department.
In the event that Intelhost re-issues any payment, a USD$35 charge will apply and be deducted from the Affiliate's earnings.
Affiliates are responsible for making sure they are able to accept payments. Please ensure that your bank or PayPal account can accept payments from US-based companies.
Affiliates are responsible for any and all fees, taxes, exchange rates, surcharges and other expenses incurred in order to receive their referral fees. Please check with your local banking institution or PayPal to find out if any of these apply for your account.
Because of the high frequency of credit card fraud and cancellation rates, Intelhost reserves the right to hold referral fees for up to two (2) additional months for verification. At Intelhost's sole discretion, we reserve the right to cancel referral fees in the event that we are unable to collect funds, the order is fraudulent, the customer cancels within the first ninety (90) days, or if we learn that the referral fee was earned improperly for any other reason.
If a referred customer initially purchases a hosting package with a term of at least one (1) year and then downgrades their hosting package to a term of less than one (1) year within one (1) year of their initial purchase, the applicable referral fees paid to the Affiliate will be reversed and deducted from future earnings.
Referred customers that issue a chargeback or are found to be fraudulent (e.g. false information, fake/stolen credit cards, selling counterfeit goods etc.), as determined in Intelligenthost's sole discretion, will be reversed regardless of the amount of time that has passed since the signup occurred.
Customers using non-standard rates (rates not available through the Affiliate Program) are not eligible for affiliate referral fees, as determined at Intelhost's sole discretion. Non-standard rates include but are not limited to: sales, promotions, email offers, prepaid accounts and discounted pricing offered for educational, government, non-profit or charity organizations.
AFFILIATE RESTRICTIONS AND RESPONSIBILITIES
Affiliates MAY NOT offer cash back, rewards or other incentives to drive traffic/sales via their affiliate tracking links.
Affiliates MAY NOT use traffic that is generated by pay to click, pay to read, banner exchanges, click exchanges, CPV advertising, pop-up/under, SPAM, purchased traffic or similar methods.
Affiliates MAY NOT use cookie stuffing techniques that set the tracking cookie without the user actually clicking on the referral link (for example a 1x1 pixel iframe).
Affiliates MAY NOT bid on or use Intelhost 's trademark, trademark +, or misspelled keywords for the purpose of PPC on Internet search engines (Google, Yahoo, MSN, Ask etc.)
Affiliates MAY NOT use Intelhost's trademark, trademark +, or misspelled keywords in their domain names.
Affiliates are responsible for ensuring their tracking code is working properly before sending traffic to Intelligenthost's servers. Any modification to the links is the sole responsibility of the Affiliate. Referral fees may not be paid for tracking errors caused by editing, masking, redirecting or tampering with affiliate links, as determined in Intelligenthost's sole discretion.
Affiliates MAY NOT use redirected pages and links to send a user to our site. For example, you may not have a PPC link on a search engine that redirects the user to our site. Domain forwarding is prohibited -- you may not purchase a domain and set it to forward directly to our site using your affiliate link.
Affiliates MAY NOT copy Intelligenthost's website or any portions thereof, including, without limitation, any of Intelhost's trademarks or other intellectual property, and display them on their own site or subdomain or use them in any way without Intelligenthost's prior express written permission.
Affiliates MAY NOT engage in the advertisement of business-opportunity sites or use marketing practices that attract fraudulent or short-term customers (customers with low retention and renewal rates) which shall be determined at our sole discretion.
Affiliate accounts may be deactivated at any time without warning or notice at our sole discretion. Any affiliate who violates Intelhost Terms of Service, including without limitation, these Affiliate Program Terms, or any applicable law is subject to having their affiliate account deactivated immediately, and any and all accrued, but not yet received, referral fees will be forfeited.
In our sole discretion, any false or misleading advertising or suspected fraudulent activity associated with your affiliate account will result in immediate deactivation.
Affiliate accounts generating a large number of fraudulent accounts, as determined in our sole discretion, will be deactivated.
Affiliates may not resell hosting. All referred customers must provide their own payment method and contact information to be a Qualified Purchase. If Intelhost determines in its sole discretion that an Affiliate is reselling hosting, the affiliate account will be immediately deactivated.
If you would like to discontinue your participation in the Affiliate Program at any time, simply remove your affiliate links from your website and no longer promote them. For accounting purposes, our systems will retain your account and personal information.
Intelligent Hosting may change any of the terms and conditions in this Affiliate Agreement, in whole or in part, at any time at Intelhost sole discretion. Unless otherwise provided, such modifications will take effect when posted on Intelligent Hosting website and apply to all referral fees that have not yet accrued. If we make any significant changes to this Affiliate Agreement, we will post a notice on this page for at least thirty (30) days after the changes are posted and will indicate at the bottom of this Affiliate Agreement the date of the last revision. In addition, Intelligent Hosting will use reasonable efforts to provide you with seven (7) days advance notice of any changes that materially impact your participation in the Affiliate Program. Unless otherwise provided, your continued participation in the Affiliate Program following our posting of any modification on our website will constitute your acceptance of all changes. If you do not agree to any such changes, your sole and exclusive remedy is to deactivate your account as described above.

Intelhost Professional Services are optional services purchased in addition to the basic hosting services we provide. Purchase of any of the below services indicates that the Subscriber has read and agrees to the terms and conditions specific to that service agreement in addition to all other terms and conditions specified in the Terms of Service.
WEBSITE TRANSFER AGREEMENT
Intelligent Hosting Sdn Bhd , hereafter referred to as Intelhost Website Transfer, provides the following terms of service. By using Intelhost 's service(s) you, hereafter referred to as Client, agree to the following terms and conditions. This document outlines the terms and conditions of Intelhost 's services, hereafter referred to as Service, the obligation of the Client and the obligation of Intelhost. Please review this document carefully before requesting Intelhost 's Service. Intelhost Website Transfer provides its Service to the Client as subject to the following Terms of Service, hereafter referred to as TOS. The TOS may be updated at any time without notice to the Client.
REFUSAL OF SERVICE
Intelhost Website Transfer reserves the right to refuse service to anyone for any reason. This includes, but is not limited to, refusal to serve clients whose sites contain content deemed adult related, sexual products, nudity, persecution, slander, illegal activities, illegal goods or drugs, information used to harm any people or animals, or information used to destroy other people’s intellectual property.
Intelhost Website Transfer will not use or disclose to others without Client's written consent Client's confidential information, except when reasonably necessary to perform the Service under this Agreement. "Confidential information" includes, but is not limited to:
The written, printed, graphic or electronically recorded materials furnished by Client for use by Intelhost Client's business plans, customer lists, operating procedures, trade secrets, design formulas, know-how and processes, computer programs and inventories, discoveries and improvements of any kind Any written or tangible information stamped "confidential," "proprietary" or with a similar legend, and Any written or tangible information not marked with a confidentiality legend, or information disclosed orally to Intelhost, that is treated as confidential when disclosed and later summarized sufficiently for identification purposes in a written memorandum marked "confidential" and delivered to Intelhost Website Transfer within thirty days after the disclosure. Intelhost Website Transfer shall not be restricted in the use of any material which is publicly available, already in Intelhost ' possession or known to Intelhost Website Transfer without restriction, or which is rightfully obtained by Intelhost Website Transfer from sources other than Client.
Intelhost 's obligations regarding proprietary or confidential information extend to information belonging to customers and suppliers of Client about whom Intelhost Website Transfer may have gained knowledge as a result of Intelhost 's Service to Client.
Intelhost Website Transfer will not disclose to Client information or material that is a trade secret of any third party. The provisions of this clause shall survive any termination of this Agreement. Please see our privacy and non-disclosure policies for additional information. Intelhost Website Transfer may transfer information about Clients if Intelhost Website Transfer is acquired by or merged with another company, in which case Intelhost Website Transfer will notify Client.
Client understands and agrees to the following scopes of responsibility of Intelhost Website Transfer according to each service which it provides:
The Website Transfer includes the migration of Client data, specified as files, databases and email accounts, to the extent paid for by Client according to Intelhost 's current migration service pricing. This service is provided "AS-IS" and Intelhost Website Transfer assumes no responsibility for the errors, omissions, or other problems related to the Website Transfer Service.
This service provides as place of storage for Client's data for the stated period of time which the Client chooses upon signing up for this service. Intelhost Website Transfer assumes no responsibility for any loss or corrupted data caused by or in connection with this service.
DUTIES OF CLIENT
Client must supply to Intelhost Website Transfer at the time of entering this Agreement information required to access and complete the Service in this Agreement. This includes but is not limited to, Internet Protocol (IP) address of server, completion of authorization statement, password and other information required to complete the Service. Client shall inform Intelhost Website Transfer of any existing errors, previous conditions, configuration changes, non-standard software, special circumstances or other reasons why the server may not be of a standard configuration or otherwise interfere with Service to be performed by Intelhost, failure to do so negates all responsibility of Intelhost Website Transfer to complete the Service. In the event that a Client with an open project does not make contact, by phone or by email, with Intelhost Website Transfer for a length of time equal to or greater than fourteen days, said Client's open project will be considered an abandoned project at that time and marked as completed by Intelhost. In addition, the Client must make known to Intelhost, in writing by email, any problems or issues related to the Service provided by Intelhost Website Transfer within fourteen days of order completion if Intelhost Website Transfer is to attempt to fix any errors, after which time the contract is complete, and no further work can or will be completed by Intelhost. Client agrees by signing up for Intelhost 's Service that Intelhost Website Transfer provides a service and not a product.
Client agrees to pay fees for any work or consultation which Intelhost Website Transfer performs for them in accordance with Intelhost's current pricing.
Website Transfer is a service, not a product. Full refunds are only available if there have been no services rendered to the Client.
Because the Website Transfer is a service and not a product , full refunds are not available once any kind of service has been rendered to Client. Intelhost Website Transfer prefers working with customers rather then seeing a Charge Back. If Client will contact Intelhost's billing department instead of issuing a charge back, then Intelhost Website Transfer can work with Client to achieve a desired results or an appropriate compromise. Client agrees that a maximum amount of fifty percent of the fees charged to Client for the Service in question during a Charge Back can ever be reimbursed to the Client. Client also agrees that a seventy-five dollar fee per charge back will be charged as a separate charge for any Charge Backs that Client issues.
The parties acknowledge that they are independent of each other, and that they have no right or authority to assume or create any obligations of any kind, whether express or implied, on behalf of the other except as may be expressly provided in this Agreement. Intelhost Website Transfer is not an employee or agent of Client. Nothing contained in this Agreement shall be construed to create a partnership, joint venture, agency or employment relationship between Intelhost Website Transfer and Client.
Intelhost Website Transfer shall have no responsibility for any of Client's debts, liabilities or other obligations or for the intentional, reckless, negligent or unlawful acts or omissions of Client or Client's employees or agents. Client may not bind Intelhost Website Transfer in any way whatsoever with respect to third parties. Intelhost Website Transfer retains sole and absolute discretion, independence, control and judgment in the manner and means of doing business and performing services to Client and/or its clients. Client agrees to indemnify and hold Intelhost Website Transfer harmless from and against any such payments or liabilities for which Client may become liable with respect to such matters.
Client agrees that Intelhost Website Transfer shall not be responsible or liable, directly or indirectly, for any damage or loss caused by, or alleged to be caused by, or in connection with the use of or reliance on any content, goods or Service available on or through Intelhost's website or Service. Client understands and agrees that Intelhost Website Transfer shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if Intelhost Website Transfer has been advised of the possibility of such damages), resulting from: (i) The use or the inability to use the Service; (ii) The cost of procurement of substitute goods and Services resulting from any goods, data, information, Service, whether purchased or obtained, or messages received or transactions entered into through or from the Service; (iii) Unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party of the Service; or (v) any other matter relating to the Service.

Intelhost Website Transfer does not represent or endorse the accuracy or reliability of any of the information, content or advertisements (collectively, the "Materials") contained on, distributed through, or linked, downloaded or accessed from any of the Services, nor the quality of any products, information or other materials displayed, purchased, or obtained by the Client as a result of an advertisement or any other information or offer in or in connection with the Service (the "Products"). Client hereby acknowledges that any reliance upon any Materials shall be at the Client's sole risk.
Intelhost Website Transfer reserves the right, in its sole discretion and without any obligation, to make improvements to, or correct any errors or omissions in any portion of the Service or the Materials.
Intelhost Website Transfer reserves all rights to work product. Work product includes, but is not limited to, the programs and documentation, including all ideas, routines, object and source codes, specifications, flow charts and other materials, in whatever form, developed solely for Client. Client agrees that Intelhost Website Transfer shall retain any and all rights Intelhost may have in the work product. The use of the Intelhost name, logo, or other identifying features is prohibited.
If Client or anyone else wishes to use the Intelhost Website Transfer name or logo, they must have permission of Intelhost.
